These terms and conditions (“T&C”) is applicable for all members and retailers in Omnia, hereinafter called (“Omnia”) and you (“You”) or (“Your”) can both become a member (“Member”) and a retailer (“Retailer”) and by accepting these T&C, You agree that You have read and understood the T&C and that Your status as a Retailer in Omnia shall be subject to the following terms and conditions between You as a Retailer and Omnia:
Omnia may modify these T&C at any time. All changes to these T&C will come into effect immediately after implementation of such changes since Your acceptance of the revised T&C will be made via a click-through confirmation or acceptance button when you will log in to Your secure back-office at http://backoffice.omniatek.com Please review them from time to time since Your continued log-in at Your Back-Office shall be deemed to be Your acceptance of any such modification. If You do not agree to these T&C, please do not become a Member or apply to become a Retailer in Omnia.
Become a member and then also Retailer
You have now a possibility to join Omnia as a Member, hereinafter called (“Member”). The membership is free in Omnia. When you sign up as a member you will have the possibility to become a retailer, from now on called (Retailer). To become a Retailer is also free. As a Member, you also have the possibility to purchase the products and services that Omnia from time to time offers to You as a Member, see more under the heading “Available offers for the Members.” If you are a Retailer, you are also allowed, but is not required to inform other people and companies about the products and services that Omnia from time to time offers to all people and companies that become a Member in Omnia. The Retailer is also allowed to refer and introduce new Members to Omnia.
PLEASE NOTE THAT YOU ARE ONLY ALLOWED TO INFORM OTHERS ABOUT PRODUCTS AND SERVICES THAT OMNIA FROM TIME TO TIME OFFERS TO OMNIA MEMBERS. REFER AND INTRODUCE NEW MEMBERS TO OMNIA WITH ONLINE ACTIVITIES!
To become a Member and a Retailer, you must be at least 18 years of age and have reached the age of majority in Your state of residence. When You apply to become a Member, you need to supply information about the Retailer that has referred You to become a Member. Please note that it is not possible to change the referring Member afterward so please be careful that You write the correct link when applying to become a Member.
To become a Member, you must provide accurate, complete and updated registration information, including an accurate name and email address. Members may not (i) select or use an email address of another person; (ii) use a name subject to rights of another person without authorization from that person; (iii) use a false or misleading name, mailing address, or email address to activate or use a Member’s account.
By signing up as a Member in Omnia, you as the Member is opting-in to receive other special offer e-mails from Omnia and Omnia’s partners that we from time to time cooperates with. If You do not wish to receive these e-mails, you may cancel Your status as a Member at any time.
Your Membership and status as a Retailer are personal and, you cannot sell it or transfer Your Membership or status as a Retailer without prior written consent by Omnia. Please also note that you can NOT change sponsor when You have signed up as a Member.
Omnia reserves the right to track Members and Retailer’s activity by both IP-address as well as individual browser activity.
Omnia may reject Your Member or Retailer registration or activation without giving any reason for the rejection.
These T&C for is on-going from the day when You become and Retailer and will continue until terminated by either You or Omnia according to what is stated in these T&C, see more under the heading “Termination.”
Omnia does not control the manner in which the Member and Retailer perform under these T&C and the Member and Retailer shall, at all times strict follow the regulations with these T&C and all other policies governing Omnia’s relationships with the Members and Retailers.
Omnia makes no representations or promises about the amount of sales or bonuses based on the Omnia products or services that the Retailer will be able to achieve. Furthermore, Omnia does not warrant makes no representations or promises about that the Retailer will earn or profit from the mining of any cryptocurrency that the Retailer may in his or her own decision chose to purchase from Omnia.
You agree to take such steps as are reasonable to be familiar with national and state prohibitions on marketing through email, facsimile, and telephonic devices, and avoid improper solicitation of business.
You agree to refrain from making misleading or improper representations concerning Omnia products and services.
You agree that any payment by for any of Omnia products such as but not limited to Package and the Omnia product, see under the heading “Available offers for the Members” shall only be processed at billing facilities approved by Omnia.
Rejection to become a Member or a Retailer
Omnia may reject Your application to become a Member or Retailer without giving any reason for the rejection.
The following countries are restricted and, you are not allowed to become a Member or Retailer if you are resident, citizen from any of the following countries: from the following countries: Iraq, Iran, Cuba, USA, North Korea, Burundi, Central African Republic, Congo, Ivory Coast, Lebanon, Libya, Moldavia, Myanmar, Somalia, South Sudan, Sudan, Syria and Yemen.
Access to back-office
As a Retailer in Omnia, you will be allowed to log in at Your back-office at the website http://backoffice.omniatek.com, the (“Back-Office”). In the Back-Office You will find information about Omnia and the products or services that Omnia from time to time offers to all Members. From Your Back-Office, you will also be able to purchase the products and services that Omnia from time to time offers.
E-Mail: Electronic Notification
When You are approved as a Retailer with Omnia, You expressly consent to receive any notices, announcements, agreements, disclosures, reports, documents, communications concerning new products, services, or other records or correspondence from Omnia. You consent to receive notices electronically by way of transmitting the notification to You by e-mail.
Introduce and Refer Members and Retailers
As a Retailer, you can introduce and refer new Members and Retailers to Omnia. PLEASE NOTE THAT OMNIA DOES GIVE REWARDS, BONUS, COMMISSION OR COMPENSATION, FOR REFERRING NEW Members or Retailers TO OMNIA. The only way You, as a Retailer can be rewarded is if You or any of the Retailers You have direct or indirect referred to Omnia acquires any product or services from Omnia.
Proprietary rights in websites
All content included on the websites omniatek.com, hereinafter called the (“Website”), including the brand Omnia any variation of the brand Omnia, videos, graphics, designs, text, pictures, applications, software and other files are the proprietary property of Omnia., hereinafter called (“Proprietary Property”) and belongs to Omnia.
You may not modify, copy, distribute, frame, republish, display, post, transmit, download or sell any Proprietary Property, in any form or by any means, in whole or in part, without Omnia´s prior written consent. You may not upload or republish Proprietary Property on any Internet, Intranet or Extranet site or incorporate the information in any other database or compilation. Any use of the Proprietary Property without the prior written consent from Omnia, is strictly prohibited and will terminate Your rights as a Retailer and any unpaid and future Bonuses according to these T&C will be forfeited and legal proceedings may be taken against You. Such unauthorized use may also violate applicable laws including copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein, nothing in these T&C shall be construed as conferring any license to intellectual property rights, whether by implication or otherwise.
The names Omnia that are used in graphics, logos, designs, page headers, button icons, scripts and service names are registered trademarks of Omnia, hereinafter called (the “Trademarks”). All rights are reserved. All such Trademarks may not be copied or used in any manner without the prior written consent of Omnia. You hereby declare that You are familiar with Omnia’s Proprietary Property and are not permitted to file for registration any of the Proprietary Property, including names, taglines, slogans, trademarks, logos, designs, domain names, imagery, or copyrighted material substantially similar to Omnia’s Proprietary Property.
You are prohibited, without prior written consent by Omnia, from advertising in any way, shape or form that includes the names Omnia, Omnia or any variation thereof. This includes, but is not limited to advertising, promotions of any kind or any advertising links in social forums, such as but not limited to blogs, social forums or other marketing methodology designed to promote to become a Retailer of Omnia.
However You are allowed to use marketing material that can be found in Your Back-Office, including your referrer link as a Retailer to promote the possibility to become a Retailer of Omnia User for any of the products or services that Omnia from time to time offer the Retailers, in places that are directed to your personal known friends and contacts, the so-called warm market.
Omnia prohibits the marketing practice commonly referred to as “Spam.” All messages that originate from You as a Retailer must comply with all applicable laws in Your jurisdiction as well as with general spam regulations. In the event of any validated report of “Spam” by You, Omnia may, at its sole discretion and without prior notice, terminate or suspend Your Retailer account, and in the case of termination, you will forfeit any unpaid and future bonuses and future mined cryptocurrency. Omnia defines “Spam” as: Electronic mail messages addressed to a recipient with whom the initiator does not have an existing business or personal relationship or is not sent at the request of, or with the express consent of, the recipient; Messages posted to forums and message boards that are off-topic (unrelated to the topic of discussion), cross-posted to unrelated newsgroups or forums, or posted in excessive volume; Solicitations posted in forums, on walls, private messaging or chat rooms, or to groups or individuals via Chat or “Instant Messaging” system; Omnia will evaluate each validated abuse incident on a case-by-case basis and will, at its sole discretion and with or without notice, suspend Your account and/or terminate it, with forfeiture of any unpaid and future Bonuses. Note that You agree and accept that Omnia will not be liable for any damages incurred in relation to e-mails sent out by You as a Retailer. The Retailer is required to be responsible for their communications and their conformance to these T&C.
Solicitation, earnings and advice Disclaimer
Omnia is not responsible for any errors or omissions contained in any disseminated content at the Website, nor liable for any loss incurred as a result of using the content of the webpage in any way. Omnia has not solicited You, nor give You any personalized investment advice. Omnia’s employees will answer Your general customer service questions. Anyway, they will not give you specific investment advice, as they are not licensed under securities laws to deal with Your particular investment situation. Communication by our employees is only in effect to give you technical support. Provided Information on the website should not cause to make investment decisions. Furthermore Omnia has not made any statement, warrants or guarantees that You will earn any money on any purchased product or services from Omnia and the result of the mining is a result outside the control of Omnia and You will get the result according to these T&C.
Before You decide if you want to apply to become a Member or Retailer of Omnia and then, by Your own decision, decide whether You want to purchase any product or service from Omnia, you should consult competent, professional help and read all available information or public company information in regard to Omnia. If the information You find contains predictions, expectations, beliefs, plans, assumptions or future income potential, this may not be statements of historical fact and may be “forward-looking statements. “Forward-looking statements are based on expectations, estimates and projections at the time the statements are made that involve a number of risks and uncertainties which could cause actual results to differ materially from those presently anticipated. Refund and Cooling off period
If You chose to purchase any product or service package from Omnia you have a 14 days cooling off period, also called grace period, which means that you can regret Your purchase of the services or products you have purchased from Omnia and get a refund as long as You haven´t used the product or service You have purchased. YOU ARE AWARE AND ACKNOWLEDGE THAT YOU HAVE TERMINATE THE COOLING OFF PERIOD WHEN YOU HAVE LOGGED IN AT YOUR BACK-OFFICE WHERE YOU GET ACCESS TO ANY CRYPTO CURRENCIES THAT YOU HAVE GOT MINED ACCORDING TO THESE T&C AS IT THEN WILL BE CONSIDERED AS YOU HAVE USED THE PRODUCT IN FULL AND YOU WILL NOT BE ABLE TO GET A REFUND FROM OMNIA NOR WILL WE ACCEPT ANY CHARGEBACK AFTER THAT POINT.
The contract is valid from the day when Omnia accepts You to become a Member of Omnia and is also applicable if You chose to become a Retailer and will continue until any of the parties terminate according to what is stated in the section “Termination”.
Know Your Client
Due to the protection of Omnia, Omnia can at any time, at their own decision, ask You to provide a copy of Your passport and a copy of a utility bill that is not older than 90 days and shows Your address. This request is called (“KYC Request”). You are aware and accepts that You will be asked to provide accepted KYC documents before You can exchange any points and other bonuses to cash to a third party that is licensed to handle such information and make any payment in cash.
If a KYC Request is required, then You will not be able to exchange any points or other bonuses to cash until You have provided acceptable documents.
Violation of the T&C
If You violate these T&C or if You act in a way that Omnia thinks is not appropriate or if You misuse any of the information given to You prior to disclosed to the public or in any way misrepresent Omnia, slander, spread gossip, make statements or otherwise say or write things that can harm the reputation of Omnia or Omnia as a company or any employees, consultants, third party suppliers or individuals associated with Omnia, You are aware that Omnia can suspend and/or terminate Your status as a Member and Retailer and also reserves the right to take legal action against You for any damage You have caused Omnia.
Suspending You as a Retailer
If You breach these T&C or if Omnia suspect that You breach these T&C, Omnia can suspend You as a Member and Retailer which means that Omnia will temporarily disable Your access to the Back-Office and temporarily disable Your access to all content, news, and possibility to have any benefit from any product or service you may have purchased until Omnia takes a final decision to either terminate or resuming Your status as a Member or Retailer. Termination of Your status as a Retailer will have consequences that can be found under the section “Termination of Your status as a Retailer.” Resuming Your Retailer status will restore Your access to the Back-Office services and to all information that You were entitled to see before the suspension.
If You are suspended, Omnia also reserves the right to freeze Your Bonuses and Points until the investigation is finalized.
Please note that in case You are suspended as a Member and Retailer You will not be allowed to refer any new Members to Omnia. During the time of suspension, you will NOT be allowed or entitled to any bonus, mining of cryptocurrency, nor will you be compensated in arrears for any loss of any kind, including but not limited to loss of bonuses or mined cryptocurrency.
Termination of Your status as a Retailer
You can at any time terminate Your status as a Member and Retailer by sending an e-mail to [email protected]
Omnia can at any point decide to terminate Your status as a Member and/or Retailer without giving any reason for the termination. The termination will be effective immediately. Omnia reserves the right to terminate Your status as a Member and Retailer in order to comply with applicable laws, protect its property or the property of others, ensure the safety of Omnia and others or if Omnia reasonably determines that a registrant has or is likely to engage in any activity that violates these T&C for Members and Retailers.
Once the termination has been carried out, this is displayed on the start page in the back-office of the Retailer. Omnia will also send You an automatic notification of termination by e-mail to the e-mail address that You have registered with Omnia.
In the event of termination, neither the hardware where any mining has been performed will be delivered to the Retailer, nor will any unused mining capacity be reimbursed and in case of any made prepayment, the prepayment will be reimbursed.
In the event of any violation or breach of these T&C, Omnia without prejudice to any other rights and remedies at law or in equity, reserves the right to take any action it deems appropriate, including but not limited to issuing warning letters, suspending or terminate You as a Member and Retailer and pursue litigation or other legal actions.
Furthermore, Omnia has zero tolerance for unprofessional behavior that can in any way, shape or form directly or indirectly harm Omnia or the companies that Omnia from time to time cooperates with.
Legal action will be taken against those Members and Retailers for any loss of income or any other damage or financial loss caused to the Omnia or the companies that Omnia from time to time cooperates with. Any Retailer caught smearing the name of Omnia – whether it’s directly or indirectly – or in any way misrepresents Omnia or the companies that Omnia from time to time cooperates with will also be subject to legal action from Omnia and/or the companies that Omnia from time to time cooperates with.
Omnia shall be the sole determiner in cases of suspected abuse, fraud, violation of its rules, unprofessional behavior, smearing or misrepresenting Omnia. Any decision Omnia makes relating to the cancellation of potential Bonuses and the suspension or termination of the status as a Retailer shall be final and binding.
Forfeit of Bonuses and mining of cryptocurrencies
If the Retailer loses the status of a Member or Retailer due to a violation of these T&C or if the Retailer does not provide acceptable documents according to a KYC Request within 2 weeks from the KYC Request was sent to You, see more under the heading “Know Your Client”, all rights to current and future bonuses including entitled rewards and bonuses that are in the Points Account are forfeited and the Retailer cannot claim any right to the forfeited bonuses, points or rewards.
Withhold of Bonuses and mining result of cryptocurrencies
If the Retailer for any reason whether it is a fault from Omnia, hacker attack or otherwise, makes that the Retailer receive more bonus, commission or mining result from the cryptocurrency mining, you agree and accept that Omnia deduct not withdrawn bonuses and crypto coins as well as withholding any future mining result of cryptocurrencies, bonuses, commission or other rewards according to the bonus and reward system.
Limitations Waiver of Liability
You acknowledge and agree that, to the fullest extent permitted by any applicable law, you will not hold any employees, consultants, third party suppliers or individuals associated with Omnia liable for any and all damages or injury whatsoever caused by or related to use of, or inability to use, cryptocurrencies or the Omnia Website and back-office under any cause or action whatsoever of any kind in any jurisdiction, including, without limitation, actions for breach of warranty, breach of contract or tort (including negligence) and that none of the third parties or individuals associated with Omnia shall be liable for any indirect, incidental, special, exemplary or consequential damages, including for loss of profits, goodwill or data, in any way whatsoever arising out of the use of, or inability to use crypto currencies.
You further specifically acknowledge that the third parties or individuals associated with Omnia are not liable, and you agree not to seek to hold any of the third parties or individuals associated with Omnia liable, for the conduct of third Parties, including mining of Cryptocurrencies, and that the risk of mining and using Cryptocurrencies rests entirely with you.
Omnia reserves the right to assume the exclusive defense of any claim for which Omnia is entitled to indemnification under this section. In such event, you shall provide Omnia with such cooperation as is reasonably requested by Omnia.
Legal & Tax compliance
You are subject to all laws of the state, province and/or country in which You reside and from which You access Omnia’s website and You are solely responsible for obeying those laws. The Retailer is not an employee of Omnia, nor any associated company and must not claim to be so. The Retailer is responsible for all taxes and fees based on all the bonuses, points, mined cryptocurrencies, cryptocurrencies received from the bonus system of Omnia. In case that Omnia will be liable for any tax or fee based on your bonuses, points, Promotion Codes, mined crypto currencies and other remunerations to You as a Retailer, you agree and accept to indemnify and hold Omnia harmless for this and accept that Omnia can claim liability and withhold already generated and future bonuses, points, already mined and future mined crypto currencies, Promotion Codes and other remunerations to cover any payment of taxes or fees for the Retailer.
Omnia prefers that the Retailer apply to become a Retailer as a corporation. If any government entity determines Retailer is subject to wage withholding, the Retailer agrees to form a corporation (or to execute such paperwork or take such actions as is reasonable to establish that the Retailer is not an employee of Omnia or Omnia will have the right to terminate this agreement forthwith upon written notice. If the Retailer forms a corporation, then upon request by Omnia the Retailer shall provide documentation that a corporation has been formed and is in good standing with government entities. If the Retailer forms a corporation, then all commissions under these T&C from Omnia to the Retailer shall be made payable to the Retailer’s corporation. Otherwise, payments shall be made payable to the trade or business name of the Retailer.
If any government or authority demands that Omnia pays and tax, fee, social insurance, VAT on Your purchased product or service or insurance contribution on behalf of the Retailer or in regard to the product and/or services the Retailer has purchased from Omnia, you agree that Omnia withhold these taxes and fees from You from already received and future bonuses, promotion codes and mined crypto currencies. If Omnia suspects that You breach against any law e.g. use a stolen credit card or otherwise makes a fraud or an attempt to fraud, Omnia can with immediate effect suspend Your status as a Retailer, block all Your bonuses and take other legal action against You without further notice. You agree that Omnia cannot be held liable if laws applicable to You restrict or prohibit Your participation. Omnia makes no representations or warranties, implicit or explicit, as to Your legal right to offer the products that Omnia from time to time offers, nor shall any Retailer, or claiming affiliation, with Omnia have authority to make any such representations or warranties.
Omnia reserves the right to monitor the location from which You access Omnia’s Websites and to block access from any jurisdiction in which participation is illegal or restricted.
As a Member and Retailer, you hereby accept and warrant that You have an understanding of the usage and intricacies of cryptographic tokens, such as BTC (Bitcoin) and other block chain-based software systems. Furthermore, you accept and warrant that You are legally permitted to generate and mine Cryptocurrencies, direct or indirect via a third party as Omnia, in Your jurisdiction. You also accept and warrant that You waive Your right to participate in a class action lawsuit or a wide-reaching arbitration or court case against Omnia or any entity affiliated, private individuals, employees, consultants, third party suppliers or other people or entities associated or connected with Omnia. You further accept and warrant that You take sole responsibility for any restrictions and risks associated with the Generation of mined coins as explained in the risks section below. Further, you accept and warrant that You are not exchanging cryptocurrencies for the purpose of speculative investments, nor for any illegal purpose within your jurisdiction. You accept and warrant that you understand that there is no guarantee whatsoever on crypto coins, mining express or implied, to the extent permitted by law, and that cryptocurrencies are mined on an “as is”basis.
Before applying to become a Member or Retailer of Omnia carefully consider the exemplary and non-exhaustive list of risks set forth below and, to the extent necessary, consult a lawyer, accountant, and/or tax professionals prior to agreeing to become a Member, Retailer and purchasing any product or services from Omnia.
- Risk of Faintness in the generation of Coins pertaining block chain, and/or the Crypto currency
The Mining software is itself based on a proven platform: There is a risk that, as an open source project, any contributor to the Network could in advertently introduce weaknesses or bugs into the software, causing the loss of mined coins in one or more or even all of the accounts that Omnia holds.
- Risk of unforeseen attack vectors
The field of digital cryptocurrency and cryptography is very new and for this reason, there is a risk of unforeseen attacks both in terms of the underlying cryptographic protocol that backs the functioning of the generated coin, as well as the interest of accessing to the wallets where the mined coins are stored. Both these vectors represent a risk that could lead the loss of the used cryptocurrencies in one or more or even all of the accounts that Omnia holds even though Omnia will always use all of its technologic capability to avoid this from happening.
- Regulatory risks
Block chain technology, mining of cryptocurrencies and cryptocurrencies itself are allowing new forms of interactions between individuals and/or companies, some of them are still to be imagined and implemented. Like with the appearance of cryptocurrencies such as Bitcoin, it is very likely that specific regulations will be set in different jurisdictions targeting block chain technology and mining. These regulations may or may not be partner-friendly and some might even forbid any relationships between an individual or company and Omnia.
Disclaimer of Warranties
You expressively agree that You is mining crypto coins at Your sole risk and that mined crypto coins are generated on an “as is” basis without warranties of any kind, either expressed or implied, including, but not limited to, warranties of title or implied pledges, merchantability or fit for a particular purpose (except only to the extent prohibited under applicable law with any legally required warranty period to the shorter of thirty days from first use or the minimum period required). Without limiting the foregoing, none of third parties or individuals associated with the generation warrant that the process for purchasing crypto coin will be uninterrupted or error-free.
Availability, Viruses, Warranty Disclaimer
Due to the nature of the Internet and computer systems, Omnia cannot be held liable for the continuous availability of the Website. Although Omnia makes every endeavor to keep the Websites accessible and free from viruses, Omnia cannot make any guarantee that it is virus-free. You shall, for Your protection, take the necessary steps to ensure appropriate security measures and shall utilize a virus scanner before downloading any information, software or documentation. The Omnia website may be unavailable from time to time for maintenance or other reasons. Omnia assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user communications or content. Omnia is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers of any of the before mentioned, computer or mobile phone equipment, software, on account of technical problems or traffic congestions on the internet or at the Omnia website, including injury or damage to User’s or to any other person’s computer, cell phone or other hardware or software, related to or resulting from using or downloading materials in connection with the Websites.
All information and services included in or available through the Websites are provided “as is” and “as available” for Your personal, non-commercial use. Neither Omnia, nor any of its employees, agents, content providers, service providers, or licensors, makes any warranty of any kind regarding the website and/or the content contained therein, the products or services available on or through the website, the results that may be obtained from using the Websites.
Omnia disclaims all warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose or non-infringement. Omnia expressly disclaims all warranties that the content of the website is accurate, reliable or correct; that the website will be available at any particular time or location, will be uninterrupted, timely, secure or error-free; that any defects or errors will be corrected; or that the content is free of viruses or other harmful components. These terms and conditions shall be governed by the extensive laws of Malta.
Statute of Limitations
Regardless of any statute or law to the contrary, any claim or cause of action arising out of or relating to these T&C must be filed within six (6) months after such claim or cause of action arose or be forever barred.
No delay or omission by any of the parties in exercising any right under these T&C shall operate as a waiver of that or any other right. A waiver or consent given by the other party on any one occasion shall be effective only in that instance and shall not be construed as a bar or waiver of any right on any other occasion.
Captions contained in these T&C are inserted only as a matter of convenience or for reference and in no way, define, limit, extend, or describe the scope of the T&C or the intent of any provision of the T&C. It is the intent of the parties that neither the T&C, not any covenant in the T&C, shall be construed against either party pursuant to the common law rule of construction against the drafter. It is the intent of the parties that said rule not be applicable to the T&C. The parties waive all rights to trial by court in any action or proceeding instituted in connection with T&C. If any provision of the T&C shall be held invalid or unenforceable by any court of competent jurisdiction or as a result of future legislative action, such provision shall be enforced to the maximum extent permissible so as to give effect to the parties’ intentions as reflected in the provision, and all other provisions of the T&C shall remain in full force and effect. In the event of a dispute arising out of or relating to T&C, the prevailing party shall be entitled to an award of attorneys’ fees and costs.
The T&C is personal to You and may not be assigned or sub-assigned. This includes but is not limited to, sell, transfer, pledge or give power of attorney to any rights or obligations according to these T&C.
In the event that any provision of these T&C shall be invalid, illegal or otherwise unenforceable, the validity, legality and enforceability of the remaining provisions shall in no way be affected or impaired thereby. Nothing in these T&C provides the Retailer with the right, license, authorization or approval to make binding agreements with any person or entity on behalf of Omnia. Furthermore, the Retailer is not authorized to receive or collect monies from any person on behalf of Omnia. All payments must be made direct to Omnia to be a valid payment.
Available offers for the Members
As a Member of Omnia, you have the possibility to purchase the products and services that Omnia offers. The products and Services may differ from time to time.
Becoming a Retailer
If you decide You can become a Retailer for Omnia which will give You the possibility to inform other people and companies about the products and services that Omnia from time to time offers to all people and companies that become a Member in Omnia. The Retailer is also allowed to refer and introduce new Members to Omnia. If You refer a new Member that also become a Retailer You are not entitled to any compensation, bonus or any other kind of rewards because Omnia does not pay or reward You for recruiting, introducing or referring new Members or Retailers to Omnia. However, if any of the Members You direct or indirect have referred to Omnia also purchase any product or service from Omnia You will be entitled to be rewarded for that due to the applicable bonus and reward plan for the different products and services, please see more under the heading “Bonus and rewards system for sold products and services.”

Purchase one or several mining packages
As a Member and Retailer, you have the possibility to purchase the right to get mining capacity crypto coins.
There are several different crypto coins that can be mined and below You can see the cost for each mining capacity package, (the “Packages”). You can also see how much hash power each Package will give You in mining capacity. Further You can see how many points You will be rewarded with according to the bonus and reward system for gold mining capacity packages that is purchased by any Member or Retailer that You direct or indirect has introduced or referred to Omnia. Note that it is not sure that the points can NOT be converted to real money if You do not fulfil what is required due to the bonus and reward system, see further under the heading “Bonus and Reward System for sold products and services”.
Available mining package units
The mining package units cost from $50 to $100,000 and will give You the right to receive any crypto coin that is mined with the capacity that You have purchase the right to according to the below schedule. You can choose both the Package that suits Your financial budget in regard to the risk that the mining of crypto coins has which has been explained several times in these T&C. If You do not have afford to lose all the money for Your Chosen Package, Omnia strongly advise You NOT to purchase any Package from Omnia. Please note that all Packages have a one-time set up fee of $49.

The Package You choose will give You the right to a certain mining capacity that will give You a certain hash rate, also known as hush power to mine the crypto coin You have chosen as the preferred crypto-coin to mine. The hash rate that You will benefit from is equal to 50% of the hash power that You have purchased in Your Package. The reason for that is that Your right is not given for a cetin time and is instead given to You on lifetime mining. Life time capacity to mining means that as long as it is possible to profitable mine the crypto coin You have chosen as the preferred mined crypto-coin, you will continue to receive the mined crypto coins on a pro-rata basis that correlates to the hush rate capacity that You have purchased the right to in the Package You have chosen. If Your preferred mined crypto coin will get unprofitable for the mining, Omnia will switch to another profitable crypto coin, convert Your hash rate that correlates to the same hash rate that You have purchased the right to if Omnia has the possibility to do so and You will then receive the other mined crypto coin converted to Your preferred mined crypto coin on that intraday’s exchange rate. The switch will be made without any costs for You.
Pay-out of the result of the crypto coin mining is normally paid out on a daily basis and for those days when you are entitled to receive the result of the mining but for various reasons it is not possible to pay-out, the result will be accumulated and paid-out as soon as possible.
The Packages described above may sometimes be out of stock and in such case, You will see that before You make a purchase and You will then come on the list of pre-orders which will give you the right to have the certain hash rate for Your preferred crypto coin when the hash rate is in stock again. If more than 3 months has passed from You made Your pre-order and still, no hash rate is available in stock for You, you can cancel Your order and ask for a refund of Your money.
NOTE: IF YOU CHOSE TO PURCHASE A PACKAGE, YOUR MINING WILL FIRST START WHEN YOU HAVE PROVIDED A VALID WALLET FOR THE SPECIFIC MINED CRYPTO COIN E.G. IF YOU CHOOSE A PACKAGE WITH BITCOIN AS THE PREFERRED MINED CRYPTO COIN, YOU MUST SUBMIT A VALID BITCOIN WALLET ADDRESS IN YOUR PROFILE OF OMNIA BEFORE YOUR MINING OF BITCOIN WILL START. PLEASE ALSO NOTE THAT THE MINING OF YOUR PREFERRED CRYPTO COIN WILL START TWO CALENDAR WEEKS AFTER YOU HAVE PAID YOUR PACKAGE IF YOU PAID THE PACKAGE WITH CREDIT CARD OR ANY OTHER PAYMENT METHOD THAT IS AVAILABLE FROM TIME TO TIME. IT IS YOUR OWN RESPONSIBILITY TO CHECK SO YOU HAVE PROVIDED A VALID WALLET IN YOUR BACK-OFFICE OF OMNIA AND YOU HAVE NO RIGHT TO ANY COMPENSATION FOR ANY POTENTIAL MINING THAT COULD HAVE BEEN MINED DURING THE TIME YOU DID NOT HAVE PROVIDED A VALID WALLET.
